My client is a small but successful Irish (ROI) IT company , who have been in business over 10 years, based in the greater Dublin region. The client has traded profitably over the period and has high levels of customer satisfaction. They have carried out business with over 100 Customers country-wide of which circa 80 are still active. Over the last few years my clients strategic focus has changed towards a specific and successful, on-line e-business, for the B2C sector. During this period less emphasis have been placed on the core original Web development and hosting business , and having reviewed this business I believe there is lost opportunity to grow revenues from the current and new clients based on the critical mass of the current active client base of 80 customers. During early 2013 my client decided that they would like to exit this web development and hosting business by way of a small trade and asset sale to an entity who wants to leverage the customer and asset base.

Financial Summary

· Recurring annual hosting revenues is circa €15,000 at a gross margin of 50%

· Web design and website maintenance has averaged circa €28,000 over the last few years at a gross margin of 40%

Due to reduced focus on this part of the business the last few years my client has maintained a healthy run rate, though it has somewhat declined from earlier periods.

Assets

The key assets are as follows:-

· A loyal and satisfied active customer base of 80 clients, who have potential for up and cross selling.

· A robust baseline financial proposition

· A legacy software product for a specific industry vertical , with 8 installed clients that has potential for further development.

Customer profile

The customer base spans a range of industries, but are mainly small and SME businesses which include auctioneers, solicitors, medical, a nursing home, business coaching, engineering, construction, machinery, recruitment and retail.

Technology profile

65 clients are ASP classic sites hosted on windows 2008 servers, the balance are Wordpress & Joomla sites hosted on Linux. The product was developed on VB6.
